Nano Dimension reshapes board under Murchinson agreement

Nano Dimension Ltd, headquartered in Waltham, Massachusetts, USA, has announced a major restructuring of its Board of Directors and senior leadership following a settlement agreement with shareholder Murchinson Ltd.

The agreement, signed on July 17, has resulted in the cancellation of the company’s Extraordinary General Meeting (EGM), which had been scheduled for July 31, 2026.

As part of the settlement, directors Yoav Pons, Ofir Rosensweig, Mark Sriubas and Dov Stehlin have resigned from the Board. They have been replaced by Murchinson nominees Moshe Rozenbaum, Ofer Fruchthandler and Guy Tarlow.

Following the board changes, Nano Dimension has appointed Rozenbaum as Interim Chief Executive Officer with immediate effect. Phillip Borenstein, who has served on the Board since December 2025, has been appointed its chairman.

Rozenbaum will work with the Board and executive leadership team to maintain business continuity while the company reviews its strategic priorities.

Before his appointment, Rozenbaum served as Nano Dimension’s Vice President of Corporate Development, where he led strategic initiatives and investor engagement. He also serves as Chair of the Audit Committee and a member of the Board of Directors at Lifeward Ltd. Earlier in his career, he held senior financial and business development positions at Fluent Trade Technologies and Yedid Capital Management. He is a Certified Public Accountant and holds a bachelor’s degree in accounting from Touro University.

Rozenbaum added, “I appreciate the Board’s confidence and am honoured to serve as Interim CEO of Nano Dimension. I look forward to working closely with the board, our leadership team, and employees to ensure continuity across the business. Throughout this process, we remain committed to serving our customers, partners, employees, and shareholders.”

The company and Murchinson said the settlement concludes several months of discussions regarding the company’s governance and allows Nano Dimension to focus on creating long-term shareholder value.
